Terms of Use

1. Acceptance of Terms

By installing, accessing, or using the Services, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Effective Date” above. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

2. Description of Services

AsBuilt provides a Chrome browser extension and related web services designed to help construction professionals automate form submissions, reduce manual data entry, and streamline field workflows. The Services may include:

• Automated detection and population of web-based forms;
• Storage and management of user-defined workflow templates;
• Integration with third-party construction management platforms;
• Account management, billing, and support services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

3. Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your password secure and confidential;
• Notify us immediately at legal@asbuilt.tech of any unauthorized access;
• Accept responsibility for all activities that occur under your account.

4. License Grant and Restrictions

Subject to your compliance with these Terms, AsBuilt Tech, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Services solely for your internal business purposes.

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Services;
• Reverse engineer, decompile, or attempt to extract the source code;
• Use the Services to build a competing product or service;
• Use the Services in any manner that could damage, disable, or impair our systems;
• Circumvent or interfere with security-related features of the Services;
• Violate any applicable local, state, national, or international law or regulation.

5. Subscription Plans and Payment

Certain features are available under paid subscription plans (“Subscription”). By subscribing, you agree to pay all applicable fees as described on our pricing page. All fees are exclusive of taxes unless stated otherwise.

Subscriptions renew automatically unless cancelled prior to renewal. No refunds will be issued for unused portions of a billing period unless required by applicable law. We will provide at least 30 days' notice of any price changes.

6. User Content

You retain all ownership rights in data and content you submit through the Services (“User Content”). By submitting User Content, you grant AsBuilt Tech, Inc. a limited, worldwide, royalty-free license to use, process, and store your User Content solely to provide and improve the Services. You represent and warrant that your User Content does not violate any third-party rights or applicable law.

7. Privacy and Data

Your use of the Services is governed by our Privacy Policy, incorporated herein by reference. AsBuilt does not sell your personal data. Form data processed by the Chrome Extension is used solely to deliver the automation features you have requested and is not retained beyond the duration necessary to complete those operations, except where you have explicitly saved a workflow template.

8. Third-Party Services and Integrations

The Services may integrate with third-party platforms including Procore, Autodesk BIM 360, Fieldwire, and others. These integrations are subject to the terms and privacy policies of the respective third parties. AsBuilt Tech, Inc. does not endorse or assume any liability for Third-Party Services.

9. Intellectual Property

The Services and all content, features, and functionality — including software, code, text, graphics, logos, and icons — are the exclusive property of AsBuilt Tech, Inc.and its licensors, protected by United States and international intellectual property laws. “AsBuilt” and the AsBuilt logo are trademarks of AsBuilt Tech, Inc.. Nothing in these Terms grants you any right to use our trademarks without prior written permission.

10. Confidentiality

Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose such information to any third party without prior written consent. “Confidential Information” means any non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ASBUILT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASBUILT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. ASBUILT'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless AsBuilt Tech, Inc.and its officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your User Content, your use or misuse of the Services, or your violation of any applicable law or the rights of any third party.

14. Term and Termination

These Terms are effective from the date you first access the Services. You may terminate at any time by discontinuing use and deleting your account. We may terminate or suspend your access at any time, with or without cause, effective immediately. Sections 9, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal proceedings shall be brought exclusively in the federal or state courts located in Delaware. YOU AND ASBUILT AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and AsBuilt Tech, Inc. concerning the Services.

Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain in full force.

Waiver. Our failure to enforce any provision will not be deemed a waiver of our right to enforce it in the future.

Assignment. You may not assign these Terms without our prior written consent. We may assign freely.
